1. Who operates the service
Vorda.studio is operated by Nydrok LLC, 1209 Mountain Road Pl NE, Ste R, 87110 Albuquerque, New Mexico, Spojené štáty americké, EIN 36-5152970 (the “operator” or “we”).
These terms govern the use of the vorda.studio website and of the application behind the login. By creating an account you agree to them. If you do not agree, do not use the service.
2. What the service is and what it is not
Vorda is a software tool. It connects your advertising and analytics accounts, presents a single view of them, looks for places where the budget produces no result, and prepares campaigns and creative on your instruction.
Vorda is not an advertising agency and does not provide marketing or other advice in the sense of a professional service. The recommendations the tool displays are the output of a calculation and a model over your data, not a professional opinion. Whether you act on them is your decision.
Vorda does not guarantee any particular business result. The euro estimates the tool displays are modelled from past data and reality will differ from them. Advertising performance depends on factors outside our control, including platform auctions, competitors, seasonality and your own offer.
3. Account, access and roles
An account is required. You are responsible for the accuracy of the details you provide at registration and for keeping your login credentials confidential. Tell us at info@vorda.studio without delay if you suspect misuse.
The account has three levels: Company (the legal entity that pays), Brand (the name you work under) and a third level (client, location, department or country, depending on what you call it). There are four roles: Owner, Manager, Editor and Analyst. Billing is managed by the Owner alone.
You may grant access to your Brand to another Brand through a public Business ID. Such a delegation must be confirmed by both parties and either party may revoke it at any time. A delegation grants the Manager role at most and never grants access at Company level.
4. Connecting advertising accounts
You connect advertising and analytics accounts through the platforms’ official interfaces (Google, Meta). We never ask you for the password to those accounts. Access tokens are stored encrypted (AES-256-GCM).
By connecting an account you confirm that you are authorised to do so. If you connect an account belonging to your client, you are responsible for having their consent.
You can revoke access at any time in Settings or directly on the platform’s side. Once access is revoked, Vorda loses the ability to both read and write the data.
5. What Vorda does on its own and what only after approval
By default Vorda writes nothing to your advertising accounts without your approval. Proposals, copy, creative and campaign publishing each have their own approval gate, and without confirmation the step is not carried out.
You can change the degree of autonomy in the monitoring settings, including a mode in which Vorda performs defined changes on its own. That change is made by you and you bear responsibility for its consequences. Every write performed is verified afterwards by reading it back and recorded in the change log, which is available to you.
6. Pricing and payments
The fee has two components:
- A share of the result. A percentage of the revenue attributed to paid channels according to platform attribution (Google, Meta). It is calculated from paid channels only, not from organic search, email or direct traffic. The rate applicable to your country is shown in the application under Billing before you confirm the order.
- Credit for creative generation. Charged for pieces actually produced. If a piece is not produced, it is not charged. You see what each piece cost.
Payments are processed by Stripe. Prices are stated exclusive of taxes, which are charged according to the applicable rules of the customer’s country. The invoice is issued by the operator at Company level.
If a payment is late we will notify you first. If payment is still not made after that notice, we may suspend access to paid features. We do not delete your data as a result.
7. Creative and ownership of outputs
Whoever paid for an output owns it, and grants a lifetime licence to whoever it was created for. If an agency produces creative for its client, that creative remains available to both parties after the collaboration ends.
You are responsible for the material you put into the tool, including product photographs and the feed. You represent that you hold the rights to use them for advertising.
Creative is produced from your material by machine. Although we check whether the product in the image has changed and whether the model has painted text into the scene, review the output before publishing it. You are responsible for the content of the published advertisement and for its compliance with platform rules and with the law.
8. What we expect from you
- Do not use the service for unlawful content or for advertising the platforms prohibit.
- Do not attempt to circumvent access restrictions or to reach other people’s data.
- Do not burden the service with automated access beyond ordinary use.
- Do not give account access to people who are not authorised to have it.
In the event of a serious or repeated breach we may restrict access or close the account. Where possible we will do so only after a warning.
9. Availability of the service
We provide the service as it is and we aim for continuous availability. We do not, however, guarantee that it will be available without interruption. We try to announce planned maintenance in advance.
Vorda depends on third-party interfaces (Google, Meta, Stripe and others listed in the Privacy Policy). Their outage, change or restriction may temporarily restrict Vorda as well.
10. Liability
We are liable for damage caused intentionally or by gross negligence. In all other cases our total liability is limited to the amount you paid us over the twelve months preceding the event that caused the damage.
We are not liable for lost profit, for the performance of advertising campaigns, for decisions made on the basis of the tool’s output, or for the conduct of the advertising platforms, including automatic changes they make in your account.
This limitation does not apply where mandatory law does not permit it.
11. Term and termination
The contract is concluded for an indefinite period. You may close your account at any time. Closing it ends the obligation to pay going forward; claims that have already arisen are not affected.
After the account is closed we delete your data within the period stated in the Privacy Policy. Download your outputs before closing; once deleted we cannot restore them.
12. Changes to these terms
We may change these terms, for example when features or legal rules change. We will notify you of a material change by email or in the application at least 30 days in advance. If you do not agree with the change, you may close your account before it takes effect.
13. Governing law and disputes
The relationship is governed by the law of the State of New Mexico, United States of America, excluding its conflict-of-law rules. The courts of Albuquerque, New Mexico have jurisdiction over disputes.
If you are a business established in the European Union, this does not affect the mandatory data protection rules that apply to you. We will first try to resolve disputes by agreement; write to info@vorda.studio.
